Welcome to Crowdol (“Platform,” “we,” “us,” or “our”). By accessing or using our website, mobile application, or services (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Services.
2. Definitions

“Client/Employer” means any person or entity using the Services to find, hire, and manage freelancers.

“Freelancer” means any person or entity using the Services to offer and provide skills, expertise, or services to Clients.

“User” means any Client, Freelancer, or visitor to the Platform.

“Project” means a specific task, job, or assignment posted by a Client and completed by a Freelancer through the Platform.

“Collective Intelligence” refers to our proprietary system for matching talent with projects based on data analytics and performance metrics.
3. Platform Overview
Crowdol is a digital talent platform that connects Clients with Freelancers for project-based work. We provide tools for project posting, talent matching, communication, collaboration, payment processing, and dispute resolution. Crowdol acts as an intermediary and does not employ Freelancers or guarantee work outcomes.
4. User Eligibility
To use the Services, you must:

Be at least 18 years old

Have the legal capacity to enter into binding contracts

Provide accurate and complete registration information

Maintain the security of your account credentials

Not be a competitor of Crowdol or use the Services for competitive analysis
5. User Accounts
5.1 Registration: You must create an account to access certain features. You are responsible for all activities under your account.
5.2 Account Types:

Clients/Employers: Must provide valid payment method and contact information

Freelancers: Must provide accurate skill information, work history, and identification where required
5.3 Verification: We may require identity verification, background checks, or skill assessments at our discretion.
5.4 Account Suspension: We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.
6. Project Engagement
6.1 Project Posting: Clients may post Projects with clear scope, deliverables, timeline, and budget.
6.2 Proposals: Freelancers may submit proposals for Projects. Clients select Freelancers at their discretion.
6.3 Contracts: Upon acceptance, a binding agreement is formed directly between Client and Freelancer. Crowdol is not a party to this agreement.
6.4 Scope Changes: Any changes to project scope, timeline, or budget must be mutually agreed upon and documented through the Platform.
7. Payment Terms
7.1 Service Fees: Crowdol charges service fees as displayed on the Platform. Fees may vary by service tier or subscription plan.
7.2 Client Payments: Clients agree to fund Projects through the Platform’s escrow or payment system before work begins.
7.3 Freelancer Payments: Payments are released to Freelancers upon Client approval of completed work or according to milestone agreements.
7.4 Disputes: Payment disputes must be reported through the Platform’s dispute resolution system within 14 days of deliverable submission.
7.5 Taxes: Users are solely responsible for their own tax obligations. Crowdol does not withhold taxes unless required by law.
8. Intellectual Property
8.1 Client Materials: Clients retain ownership of materials provided to Freelancers for Projects.
8.2 Work Product: Upon full payment, ownership of work product transfers to Client as specified in the Project agreement. Default transfer occurs unless otherwise agreed.
8.3 Platform IP: All Platform technology, software, designs, and content are owned by Crowdol and protected by intellectual property laws.
8.4 License: Users grant Crowdol a non-exclusive, worldwide license to use their content solely for providing and improving Services.
9. User Conduct and Prohibited Activities
Users agree not to:

Post false, misleading, or inaccurate information

Circumvent the Platform’s payment system

Harass, discriminate, or harm other Users

Share confidential information without authorization

Violate any applicable laws or regulations

Reverse engineer or copy Platform features

Use automated systems to scrape data or interact with the Platform
10. Collective Intelligence System
10.1 Matching Algorithm: Our proprietary matching system considers skills, experience, ratings, project history, and performance data.
10.2 Performance Metrics: User ratings, completion rates, and other metrics may affect matching and Platform access.
10.3 Data Usage: We use anonymized, aggregated data to improve our matching algorithms and Services.
11. Confidentiality
Users agree to maintain the confidentiality of any proprietary or sensitive information disclosed during Projects. This obligation survives termination of Projects and these Terms.
12. Limitation of Liability
12.1 No Warranty: Services are provided “as is” without warranties of any kind, express or implied.
12.2 Limitation: To the maximum extent permitted by law, Crowdol’s total liability shall not exceed the greater of $100 or fees paid by you in the past 6 months.
12.3 Exclusion: Crowdol is not liable for:

Actions or omissions of Users

Quality, safety, or legality of services provided by Freelancers

Accuracy of User-provided information

Any indirect, incidental, or consequential damages
13. Indemnification
You agree to indemnify and hold harmless Crowdol, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Services or violation of these Terms.
14. Termination
14.1 By User: You may deactivate your account at any time.
14.2 By Crowdol: We may suspend or terminate your account for violation of these Terms or at our discretion with 30 days’ notice.
14.3 Effect: Termination does not relieve either party of obligations incurred before termination.
15. Dispute Resolution
15.1 Negotiation: Users agree to attempt good-faith resolution of disputes directly before involving Crowdol.
15.2 Mediation: For disputes between Users, Crowdol may offer mediation services.
15.3 Arbitration: Any dispute with Crowdol shall be resolved through binding arbitration according to the rules of the Chartered Institute of Arbitrators, with venue in Kenya.
15.4 Class Action Waiver: Users waive any right to participate in class actions against Crowdol.
16. General Provisions
16.1 Modifications: We may modify these Terms at any time. Continued use after changes constitutes acceptance.
16.2 Governing Law: These Terms are governed by the laws of Kenya, without regard to conflict of law principles.
16.3 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
16.4 Assignment: You may not assign these Terms without our written consent.
16.5 Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
16.6 Entire Agreement: These Terms constitute the entire agreement between you and Crowdol regarding the Services.
